The corporate collective investment vehicle, normally known as the CCIV, is a new type of company that can be registered in Australia from 1 July 2022.

We are particularly excited about this new corporate form as it provides the regulatory framework necessary to work with the rapidly evolving area of the digital representation of assets on the blockchain.

A CCIV is a company limited by shares, but it is a separate legal entity. Underneath the CCIV umbrella structure, there must be at least one sub-fund. A CCIV and its sub-funds must be registered together upon establishment.

What is a CCIV?

  • A CCIV is a new legal form type of company that is limited by shares.
  • It has the characteristics of a company.
  • It is intended to be used for funds management.
  • It has been created to enhance Foreign Investment.
  • It is an alternative investment vehicle to managed investment schemes.
  • The legislation that created it was the Corporate Collective Investment Vehicle Framework and Other Measures Act 2022.
  • The ordinary company rules apply to it under the Corporations Act.
  • It has a constitution and one sub-fund.
  • As an umbrella vehicle with at least one sub-fund, it needs to be operated by a corporate entity called a corporate director.
  • This corporate director must be a public company with an Australian financial services licence.
  • This corporate form, not unlike the open-ended investment structures used in the United Kingdom, Ireland, Singapore and Hong Kong, is familiar to foreign investors.
  • Treasury is confident that this new framework will attract more offshore investment into Australian funds.
  • A CCIV can enter into contracts on their own accord through the license held by the corporate director; the CCIV can deal with its own company shares without the requirement to hold an AFS licence.
